Semiora’s terms for using our scheduling and booking services.

Overview

These Terms of Service ("Terms") govern your access to and use of Semiora’s scheduling, booking, and workflow services (the "Services"). By using the Services, you agree to be bound by these Terms.

Semiora is operated as a personal startup from Kholahati, Gaibandha Sadar, Bangladesh.

If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

Definitions

For these Terms:

  • “Services” means Semiora websites, apps, and related features, including scheduling, bookings, workflows, and integrations.
  • “Content” means information you submit to or generate through the Services (including booking details you configure).
  • “Invitees” are people who book time with you via the Services.
  • “Hosts” are Semiora users who publish booking pages, offer events, or collect payments for bookings.

Eligibility & Accounts

You must be able to form a binding contract to use the Services. You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher). You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your credentials.

You’re responsible for all activity that happens under your account. Please notify us promptly if you suspect unauthorized access.

Communications

We may send you service-related communications (for example, security notices, product updates, and account messages).

Where required by law, you can opt out of promotional emails using unsubscribe links or account settings.

The Services

Semiora provides tools to publish availability, accept bookings, coordinate events, and manage communications related to scheduling. The Services may evolve over time and may include features released as beta or preview.

  • You control your availability and event settings.
  • Invitees can book based on your configuration.
  • You are responsible for the content you share and the events you host.

Acceptable Use

You agree not to misuse the Services or help others do so. This includes attempting to access accounts without permission, disrupting the Services, or using the Services to distribute unlawful or harmful content.

  • No unlawful, abusive, or deceptive activity.
  • No reverse engineering or interference with the Services.
  • No sending malicious code, spam, or harmful automation.

Your Content

You retain ownership of content you submit to the Services. You grant Semiora a limited license to host, store, and display your content as needed to operate the Services.

You are responsible for ensuring you have the rights to the content you upload or share.

Invitees & Third Parties

If you invite others to use Semiora booking links, you are responsible for how you configure booking questions, disclosures, and the meeting experience.

Invitees may have rights under applicable privacy laws; you should only collect what you need.

Payments & Billing

If you purchase a paid Semiora plan, you agree to pay the fees, taxes, and charges shown at checkout or in your billing settings.

Semiora uses Paddle and may use other payment providers to process payments. For some purchases, Paddle may act as merchant of record or reseller, and Paddle’s buyer terms, checkout terms, refund policy, and payment disclosures may apply in addition to these Terms.

  • Prices, billing cycles, included features, and applicable taxes are shown at checkout or on the pricing page.
  • You are responsible for keeping billing and account information accurate.
  • We may suspend or limit paid features if payment fails or a charge is reversed.

Refund Policy

Semiora subscription fees are non-refundable except where required by applicable law or Paddle policy. Read details on our refund policy page.

Subscriptions, Trials, and Fee Changes

Some Services may be offered on a subscription basis. Subscription terms (billing cycle, price, and plan features) are described at checkout or in plan documentation.

Trials or promotional periods may be offered from time to time. If a trial requires a payment method, charges may begin at the end of the trial unless you cancel beforehand.

You may cancel a Semiora subscription at any time from billing settings or by contacting support. Unless stated otherwise at checkout, cancellation stops future renewals and your access to paid features continues until the end of the current paid billing period.

We may change fees or plan features with reasonable notice. Continued use after the effective date means you accept the changes.

Third-Party Services

The Services may integrate with third-party providers (for example, calendar, video, or payment services including Paddle). Your use of those integrations is subject to the third party’s terms and policies.

If you connect a third-party account to Semiora, you authorize us to access and process information from that provider as needed to provide the integration.

Intellectual Property

The Services, including software, visual interfaces, design, and content provided by Semiora (excluding your Content), are owned by Semiora or its licensors and are protected by applicable laws.

You may not copy, modify, distribute, sell, or lease any part of the Services unless permitted by law or with our written permission.

Termination

You may stop using the Services at any time. Semiora may suspend or terminate access if we reasonably believe you have violated these Terms or if required to protect the Services, other users, or the public.

Disclaimers

The Services are provided “as is” and “as available.” Semiora disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Semiora will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, or data.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Semiora from claims arising out of your use of the Services, your Content, or your violation of these Terms.

Governing Law

These Terms are governed by the laws of Bangladesh, excluding conflict of law rules, unless applicable consumer protection or other mandatory law requires otherwise.

You and Semiora will first try to resolve disputes informally by contacting support. If a dispute cannot be resolved informally, it may be brought before courts with competent jurisdiction in Bangladesh, unless applicable law gives you the right to bring the dispute elsewhere.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice in a reasonable manner. Continued use of the Services after changes become effective constitutes acceptance.
